OVERVIEW
The Company is engaged in the production and sales of parenting lifestyle items and running the Itzy Ritzy Ambassador Program, and the Brand Ambassador is a content creator. Both Parties agree that the Brand Ambassador will promote the Company via content on social media, with focus on TikTok, Instagram and YouTube as applicable.
COMPENSATION
In consideration of the full performance of the Brand Ambassador’s services as described herein, the Company shall compensate the Brand Ambassador the full "Agreement Rate" in the form of 10% commission (unless otherwise discussed) on Net Sales of first-time purchases made with the Brand Ambassador's unique code.
- “Net Sales” means the gross dollar amount collected by Itzy Ritzy for the sale of the product less any discounts actually applied, shipping costs paid by Itzy Ritzy for delivery to customers, actual allowances for returned or defective product and taxes, not including taxes assessed on the Company’s income, related to the sale of the product.
Payment of the Agreement Rate will be issued monthly, within 30 days of the end of the previous month. The Brand Ambassador understands and acknowledges that this is the sole compensation for the services described in these Terms and that no additional compensation will be granted. The Brand Ambassador also understands that compensation is due upon the fulfillment of the duties and obligations of the Brand Ambassador.
RELATIONSHIP OF THE PARTIES
The Brand Ambassador is an independent party. The relationship between the Company and Brand Ambassador shall not be understood to be that of employer and employee, nor to constitute a partnership, joint venture, or agency of any kind. The Brand Ambassador will not be considered an employee for any of the Company's employment policies or any employee benefit plan. The Brand Ambassador will not be entitled to any benefits under any such policy or benefit plan. The Brand Ambassador is responsible for paying their own taxes and insurance.
CONTENT OWNERSHIP & RESHARING
The Brand Ambassador grants and consents to The Company and its nominees, assigns and designees the right to distribute, publish, reproduce and otherwise use photographs, videos, images or likenesses taken, made or created and submitted pursuant to this agreement, in part or in whole, in any and all manners, without limitation or restriction, including but not limited to advertising, social media, trade, display and exhibition purposes, in perpetuity.
Accordingly, the Brand Ambassador releases and holds harmless The Company and its nominees, assigns and designees from any liability arising from the use of said photographs, videos, images or likenesses arising from their sale, publication, reproduction or other use. The Brand Ambassador represents and warrants that they are at least 18 years of age and have legal capacity to execute this release.
Accordingly, the Brand Ambassador releases and holds harmless The Company and its nominees, assigns and designees from any liability arising from the use of said photographs, videos, images or likenesses arising from their sale, publication, reproduction or other use. The Brand Ambassador represents and warrants that they are at least 18 years of age and have legal capacity to execute this release.
REPRESENTATIONS, WARRANTIES AND OBLIGATIONS
The Brand Ambassador represents and warrants that:
1. They will act in a timely manner with a high degree of professionalism and behave in a legal, ethical and business-like manner 2. They will represent the Company truthfully and sincerely and will not engage in any activity or action that may damage the Company's reputation or the reputation of its products or services 3. All deliverables provided hereunder are new and original to the Brand Ambassador and do not infringe the rights of any third party 4. They have the full and unrestricted right and authority to enter into and perform this Agreement 5. They have complied and will comply with all applicable laws, rules, and regulations in rendering the services to be performed under this Agreement, including without limitation, any of the Company's policies (such as the privacy policy and trademark usage policy) 6. During the term of their time as an Ambassador (the duration of the Brand Ambassador's participating in the Itzy Ritzy Ambassador Program), the Brand Ambassador shall not promote any diaper bag competitor without prior written consent from the Company.

TERMINATION
These terms shall remain in effect and fully enforceable beginning on the date an Ambassador is onboarded to the program, and until terminated by either party. Notification 14 days in advance shall be required should either party decide to terminate the partnership prior to the previously agreed-upon termination date.
If the Brand Ambassador is not active for 90 days, The Company assumes the partnership is terminated.
